The Help for the Holidays Instant Win Game and Sweepstakes (the "Promotion") begins at 12:00:00 PM Eastern Time (ET) on Tuesday, October 27, 2009 and ends at 11:59:59 PM Eastern Time (ET) on December 14, 2009 (the "Promotion Period"). The Promotion is intended for participation only in the United States and shall be construed according to, and governed exclusively by United States law. Do not participate in the Promotion if you are not physically located in the United States at time of entry. Entry in the Promotion does not constitute entry into any other promotion, contest or Promotion. By participating in the Promotion, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions the Sponsor, which shall be final and binding in all respects.
2. ELIGIBILITY: The Promotion is open only to legal residents of the 50 United States residing the United States (excluding Puerto Rico) who are 18 years of age or older at the time of entry. Employees, officers and directors of Sponsor and their respective parents, affiliates, subsidiaries, divisions, advertising, promotional, fulfillment and marketing agencies, their immediate families (parent, child, sibling & spouse) and persons living in the same households as such individuals (whether related or not) are not eligible to participate in the Promotion. Void in Puerto Rico, all other territories and where prohibited by law, rule or regulation. All applicable federal, state and local laws and regulations apply.
3. HOW TO ENTER: To enter the Promotion, visit http://www.prizes.com and complete the entry form with your true and correct information in all required fields, and click “Submit.” LIMIT: four (4) entries per day per person.
If you receive a winning message, you win the prize shown, subject to confirmation, verification, compliance with these Official Rules and final approval from the judges or Sponsor. Proof of play and/or winning will not be deemed to be proof of winning by judges or Sponsor.
The Website's clock will be the official timekeeper for this Promotion. Entries will be deemed made by the authorized account holder of the email address submitted at time of entry. In the event of a dispute regarding the identity of any potential winner, the potential winner will be deemed to be the authorized account holder of the email address submitted at time of Promotion entry. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the email address associated with the winning entry. In the case of an eligible minor, the potential winner’s parent or legal guardian may be the authorized account holder. If a dispute cannot be resolved, the entry will be deemed ineligible. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete garbled or corrupted are void and will not be accepted. Except as noted in these rules, information collected from entrant is used only for the purpose of the prize drawing and to notify winners, and will not be re-used, sold or shared in any manner by Promotion Entities or any third parties unless entrant has elected to receive additional information and promotional material from Sponsor or a third party. Once the Promotion has ended, all information supplied by entrants will be removed from the database. 4. INSTANT WIN GAME PRIZES AVAILABLE and ODDS OF WINNING: There are a total of 55 prizes available in the Instant Win Game. Odds of winning Instant-Win prizes depend on the number of eligible game plays received and the day and time of game play. The Quantity, Prize Description/Approximate Retail Value (ARV) of a specific prize in the Instant-Win Game are as follows:

The Total Approximate Retail Value of the Instant Win prizes is $1,000.

5. SWEEPSTAKES ENTRY, PRIZE AND ODDS OF WINNING: Entrants will automatically receive one (1) entry into the Grand Prize Sweepstakes drawing upon completion of an Instant-Win game play (subject to Rule #3, above). Eight (8) Grand Prize winners will be selected in an electronic randomized drawing from all eligible Sweepstakes entries on or about December 16, 2009. Odds of winning the Grand Prize depend on the number of eligible entries received.

6. PRIZE AWARDING: Sponsor will only award prize upon potential winner’s verification and final approval. No prize substitution, cash equivalent of prize, transfer or assignment of prize permitted, except by Sponsor in its sole discretion, due to prize unavailability for any reason, and only then for a prize of equal or greater value. If winner of the prize is deemed a minor in his/her state of residence, prize will be awarded to the parent or legal guardian. Prizes will be shipped to winners a maximum of 1-3 weeks after the Promotion has ended. All winners grant Sponsor the right to use and publish winner's proper name and State of residence online in connection with the Promotion. Acceptance of a prize constitutes permission for Sponsor and its affiliates to use winner's name and likeness solely for advertising and promotional purposes as Sponsor so determines without notice or further compensation, except where prohibited by law. All decisions of Sponsor shall be binding and final.
7. DISQUALIFICATION: Entrants found tampering with or abusing any aspect of this Promotion, as solely determined by the judges, will be disqualified. If disqualified for any of the above abuses, Sponsor reserves the right to terminate entrant's eligibility to participate in the Promotion. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right to terminate, cancel, suspend and/or modify the Promotion if any fraud, virus or other technical problem corrupts the administration, security, or proper play of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment. The number of Prizes available to be won decrease throughout the Promotion Period. If for any reason more entrants receive an "instant winner" notice than the number of prizes stated herein, Sponsor reserves the right to award only the number of prizes stated in the Official Rules via a random drawing. In no event will more prizes be awarded than those listed in the Official Rules. Prizes are subject to verification, confirmation and compliance with these Official Rules. Proof of play and/or winning will not be deemed to be proof of winning by Sponsor.
8. LIABILITY & RELEASE: By participating in the Promotion, entrants agree to release and hold harmless the Promotion Entities from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Promotion or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt of any prize. Entrant further agrees that in any cause of action, the Promotion Entities’ liability will be limited to the cost of entering and participating in the Promotion, and in no event shall the Promotion Entities be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
9. TAX INFORMATION: All applicable federal, state, local, and other taxes on prizes are the sole responsibility of the applicable winner.
10. DISPUTES: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Commonwealth of Pennsylvania. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Pennsylvania, without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Pennsylvania or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Pennsylvania.
